The Capital Markets Law practice advises Austrian and international banks, funds, issuers as well as shareholders and other investors on all aspects of capital markets law.
Our lawyers have extensive national and international experience in structuring, negotiating and performing national and cross-border capital market transactions for equity or debt financing (in particular regarding equity issues, bonds, convertible bonds and private placements) as well as derivative financial instruments (such as, in particular, repurchase agreements and securities lending). In addition, we also advise on the structuring and licensing of investment funds, alternative investment funds (AIF), investment firms and investment service providers (WPDLU). Given our excellent contacts with foreign law firms, we can also provide tailor-made cross-border support for capital market transactions.
We are also frequently consulted for regulatory law and supervisory law questions in connection with funds law and securities law and represent our clients in administrative proceedings as well as and in and out-of-court disputes.
In addition, the expertise of the Banking & Finance Practice Group enables us to provide comprehensive advice in the area of banking law and finance law, for example on whether a banking licence or other licence from a financial market supervisory perspective is required for a particular business model.
In addition, we regularly advise - in close cooperation with the Corporate Law Practice Group – publicly traded companies on legal issues of corporate governance and compliance as well as on insider trading and market abuse regulations.
